CMC Credits Terms and Conditions – CoinMarketCap

Introduction

These Terms and Conditions govern the purchase and use of CMC Credits (as defined herein) by the Client and supplements the Website Terms of Use. In the event of any conflict, these Terms and Conditions shall prevail only to the extent of such conflict.

By purchasing and using CMC Credits, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions and the Website Terms of Use.
Definitions

"CMC Credits" refers to the credits acquired by the Client upon successful payment under the packages defined in the invoice (the “Package”), which may be utilized for various chargeable transactions with CMC.

"CMC" or “Company” refers to CoinMarketCap, the online cryptocurrency data and services platform located at www.coinmarketcap.com.
Purchase and Use of CMC Credits

3.1 Purchase of Credits: Clients may choose from the available packages offered to it by CMC and which will be indicated in the invoice issued to the Client. CMC Credits will be issued to the Client upon confirmation of payment and such payment is non-refundable.

3.2 Monitoring: The Client will receive regular CMC Credits balance reports by email, provided there has been a transaction since the last balance report and the Client provided the Company with the appropriate permission to contact the Client via email. The Client may also request to view the balance CMC Credits in his account at any time.

3.3 Validity and Usage: CMC Credits are valid for the duration specified in the invoice for the selected package (the “Validity Period”) and can be used to pay for all chargeable transactions offered by CMC to the Client, including but not limited to projects and exchanges listings, projects and exchanges coin page updates, ads and marketing packages, Pro API plans, and CMC event sponsorships (the “Services”). Once the Validity Period has passed, any unused CMC Credits shall be forfeited unless otherwise agreed between Parties. The Services may be subject to additional terms and conditions and may require the Client to enter into separate agreements, including but not limited to the following Services:
a. General Marketing: Standard Terms and Conditions
b. Airdrops: Standard Terms and Conditions
c. Learn and Earn campaigns: Standard Terms and Conditions

In the event the Client is required to enter into a separate agreement governing the Service, the Client shall be informed accordingly and the provision of such Service shall be contingent upon the signing of such agreement.
3.4 Modification: Except as otherwise expressly prohibited or limited by applicable laws, the Company has the right to change, limit, modify or cancel the Package or CMC Credits contained within, with or without notice, even though such changes may affect the value of the CMC Credits. The Company may, among other things: (i) increase or decrease the number of CMC Credits available under the Package; or (ii) modify the value of the CMC Credits.

3.5 Benefits: Clients may not rely upon the continued availability of any Service. All benefits, amenities, offers, awards and services purchasable by the CMC Credits are subject to availability and may be changed by the Company at any time without notice. Failure to offer the Services shall not be deemed as a breach of these Terms and Conditions.

3.6 Transferability: Credits are non-transferable and may only be used by the Client who purchased them.
Cancellation and refund

4.1 Cancellation. A Client may cancel his/her Package at any time by sending written notice of cancellation to advertising@coinmarketcap.com unless otherwise notified by the Company. All unredeemed CMC Credits will be forfeited immediately and may not be reinstated or transferred.

4.2 Termination by the Company. The Company may terminate or suspend the CMC Credits held by the Client at any time with immediate effect and without written notice, for any reason and in the Company's sole discretion including, without limitation, if the Company believes the Client has:

A. Acted in a manner inconsistent with applicable laws, regulations, ordinances;
B. Acted in an inappropriate, fraudulent, abusive or hostile manner; and/or
C. Breached or violated any of these Terms and Conditions or the Website Terms of Use.
Personal Data
Any information a Client provides to the Company when purchasing and redeeming CMC Credits is processed in accordance with the Company’s Privacy Policy.
Miscellaneous

6.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions, agreements, or understandings.

6.2 Amendments: The Company may amend or modify these terms and conditions at any time. Any such changes will be communicated to the Client in writing, and the Client's continued use of CMC Credits following the changes will constitute acceptance of the modified terms.

6.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
